End User License Agreement (EULA) – EZEU HMS Platform
This End User License Agreement governs access to and use of the EZEU HMS Platform by hospitals and enterprise customers.

1. Acceptance of Agreement
By accessing or using the EZEU Hospital Management System (“Software” / “Platform”), the Customer (“Hospital”, “User”) agrees to be bound by this End User License Agreement (“EULA”).
If you do not agree, you must not use the Platform.
2. License Grant
EZEU Technologies (“EZEU”) grants a limited license to use the Platform strictly for internal healthcare operations during the subscription term.

3. Commercial Terms Linkage
All commercial terms shall be governed by the applicable Order Form / Master Service Agreement (MSA) executed between EZEU and the Customer.

4. Ownership & Intellectual Property
The Platform, including software, architecture, workflows, APIs, UI/UX, and integrations, is the exclusive property of EZEU.
No ownership rights are transferred.

5. Permitted Use
Customer may:
- Use the Platform for hospital operations
- Access features based on subscription
- Integrate with approved systems
6. Usage Limits & Fair Use
Usage is subject to licensed number of users, storage limits, and API usage thresholds. EZEU reserves the right to monitor usage, apply fair-use restrictions, and charge for overages or suspend excessive usage.
7. Restrictions (Strict Protection)
Customer shall NOT:
- Reverse engineer, decompile, or copy
- Create competing products
- Resell, lease, or sublicense
- Bypass security controls
- Use the Platform unlawfully
8. User Access & Security Responsibility
Access is restricted to authorized personnel. Customer is responsible for credential security and access control. EZEU is not liable for unauthorized access due to Customer negligence.
9. Data Ownership & Platform Rights
Customer owns all patient and hospital data. EZEU acts as a data processor.

10. Data Export & Exit Rights
Upon termination, Customer may request data export in standard formats such as CSV, APIs, or structured dumps. Timeline: 30–60 days. Post-export, EZEU may delete data unless legally required.
11. Updates & Platform Changes
EZEU may add, modify, or remove features and release updates and patches. Continued use implies acceptance.
12. Third-Party Integrations
The Platform may integrate with insurance providers, labs and diagnostics, and ABDM / ABHA systems. EZEU is not liable for external system failures, insurance claim outcomes, or data inaccuracies from third parties.
13. Fees & Payment
Subscription-based pricing applies. Non-payment may result in suspension or termination. All fees are non-refundable unless agreed.
14. Service Levels (SLA Reference)
Service levels are governed by EZEU SLA. Target uptime: 99.5%+. Support response: Critical: 4 hours, High: 8 hours, Normal: 24 hours.
15. Suspension Rights (Critical Clause)
EZEU may immediately suspend access without prior notice if security threats are detected, platform misuse occurs, or regulatory risk is identified.
16. Disclaimer of Warranties
The Platform is provided “as is” and “as available”. EZEU disclaims all warranties, express or implied, and does not warrant uninterrupted or error-free service.
17. Limitation of Liability (Strong Protection)
EZEU shall NOT be liable for clinical decisions, patient outcomes, data errors entered by users, insurance rejections/delays, or indirect or consequential damages. Maximum liability is limited to fees paid in the last 3–6 months.
18. Indemnification
Customer agrees to indemnify EZEU against legal violations, data misuse, failure to obtain patient consent, and claims arising from hospital operations.
19. Compliance Responsibilities
EZEU aligns with the DPDP Act (India) and ABDM guidelines. Customer is responsible for regulatory compliance, patient consent, and internal governance.
20. Audit & Monitoring
EZEU reserves the right to monitor system usage, investigate anomalies, and enforce compliance.
21. Non-Solicitation (Important Add)
Customer shall not solicit or hire EZEU employees or replicate platform design or workflows for a period of 12 months post engagement.
22. Term & Termination

Valid during subscription period.

EZEU may terminate for breach, non-payment, or security concerns.
23. Force Majeure
EZEU is not liable for natural disasters, cyber incidents, government actions, or infrastructure failures.
24. Governing Law & Jurisdiction
Governed by Indian law. Jurisdiction: Bangalore, Karnataka courts.
25. Entire Agreement
This EULA forms part of the overall agreement including Privacy Policy, Terms & Conditions, Data Processing Agreement, and MSA / Order Form.
